Independent Contractor/ Vendor Terms And Conditions Agreement

Names

This agreement is between Errand And Task Labor LLC ("Client"), a Colorado limited liability company, and the "as mentioned Contractor" ("the Contractor, Contractor"/business owner agreeing to these terms).


Services to be Performed

Contractor agrees to perform the following services for Client:


The Contractor will manage tasks as described by the Client vocally, in a email, or by through an online form.


Usage of verbal Communication and Email to Negotiate Service and Binding Agreements Without Signature

If Contractor uses an email or a verbal contract to use our Vendor Network services, the Contractor agrees to make a binding legal agreement to the mentioned terms in addition to these Vendor Terms And Conditions, or by default, these Vendor Terms And Conditions without a signature.


Usage of Online Forms to Negotiate Service and Binding Agreements Without Signature

If Contractor or Client uses or accepts terms of any of online form located on Errand and Task Labor's website, the Client agrees to make a binding legal agreement to the terms in addition to these Vendor Terms And Conditions or by default these Vendor Terms And Conditions without a signature.  We hate Spam as much as anyone does. If Contractor wishes to no longer receive emails, Contractor may simply email CS@ColoradoErrandAndTaskLabor.com and ask to be removed from the email list. The information collected by online forms will NEVER be used for spam.



Time For Performance Of Service,

Tasks will be completed by Contractor in the time allowed on schedule and by the due date agreed upon.

In the event that schedules do not allow services to be performed, a Reschedule will be made and agreed upon. Excluding acts of God, the contractor is responsible if any damages arise from the contractor's inability to perform in the time specified.


Payment

Client will pay Contractor as agreed upon verbally, electronically or in writing.

If there is no agreement on how payment will be made, full payment may be made before work starts or 60 days from when work Is Complete and upon receiving an invoice. The Client may pay using Check, Money Order, Cash, Credit Card (ONLY using current Online website payment options) payable to Contractor. Invoices may be sent to the Billing Address given by Client, Errand And Task Labor llc.


Reimbursement Fees

The cost of Contractors additional purchases are to be included and billed on an invoice as Reimbursement Fees.

These Fees may be prepaid in advance.


Caped Mileage Limit

If a  Mileage Fee is to be agreed upon, Mileage fees, by default are charged at a price no greater than the current IRS average mileage rate unless mutually agreed upon.


Terms and Conditions of Payment

If invoice timing is not specified by agreement or contract, then the Contractor, by default, will submit invoices at the end of the job or at the end of each month to Client for all services performed. If no payment schedule is agreed upon, then Client shall pay Contractor within 60 days from

the date of Contractor's invoice.

Contractor shall be paid accordingly:

Full payment or deposit may be made before work is started. Full payment is due upon

completion of work after the Client's receiving of an Invoice.


Liability

Contractor shall remain liable for bodily injury or personal

property damage resulting from grossly negligent or willful actions of Contractor, or

Contractor's employees or agents, while on Client's premises to the extent such actions or

omissions were not caused by Client.


State and Federal Taxes

Client will not:

• withhold state or federal income tax from Contractor's payments

• withhold Social Security and Medicare taxes from Contractor's payments or make

such tax payments on Contractor's behalf, or

• make state or federal unemployment contributions on Contractor's behalf.

Contractor will pay all applicable taxes related to the performance of services under this

contract. This includes income, Social Security, Medicare, and self-employment taxes.

Contractor will also pay any unemployment contributions related to the performance of

services under this contract. Contractor will reimburse Client if Client is required to pay

such taxes or unemployment contributions.



By using these affiliate network services:

  • The Contractor could Promote a list of services FREE simply by quoting the Client exclusive service prices that the Contractor would charge Errand and Task Labor.

  • Then when The Client, Errand And Task Labor LLC, lists the Contractors services, The Client will only add a standard finders fee charge to the quoted pricing that was given (ranging from $5-35 or offer the service for 101%-160% of the price), unless otherwise agreed upon. This means The Contractor pays nothing for Service Promotion because Errand and Task Labor LLC’c clients patron the service.

By Making This Agreement You, The Contractor, ]Will Receive:

  • A Vendor Network Membership that allows you to rent tools that are property of Errand And Task Labor with a 5% discount.
  • By email request only (cs@errandandtasklabor.com): TWO Customized Professional Emails. Example: 
    • YourBusinessName@ErrandAndTaskLabor.com, 
    • YourBusinessName.ErrandAndTaskLaborLLC@Gmail.com
  • By email request only (cs@errandandtasklabor.com): A Service Task Manager BIO Page that we'll make to promote your services and tell people about your business.
    • Access to edit and create your own Personal Blog (web log/journal) to keep people up to date with your business (optional).
    • A comment box on your Service Task Manager BIO Page with automatic email notifications when someone posts to your Service Task Manager BIO Page

Contractor Is Required To Finalize and Complete Sign Up:

  • The Contractor must fill out our Service Provider Interview Form

  • The Contractor must fill out, print, and sign form W-9 (http://www.irs.gov/pub/irs-pdf/fw9.pdf) and Email it to CS@errandandtasklabor.com

List of restrictions To Promotional BIO Pages And Jobs That Client Hires Contractor For:

  • With Contractor as an affiliate Vendor, Errand and Task Labor LLC is Contractor's business client and Hires Contractor as an independent contractor and pays Contractor personally. All of Contractor's invoices are to be billed to Errand And Task Labor LLC. Any of your invoices you send will be paid by Errand And Task Labor LLC ONLYAny attempt to collect payment from anyone else, other than Errand And Task Labor LLC, will result in a termination of the Vendor Network Membership and lawsuits for ANY incurred damages that Errand And Task Labor LLC obtains by these actions
  • For marketing and accountability testing, the Contractor may not display or dispense actual contact information on Errand And Task Labor LLC's or bio pages, unless mutually agreed upon. This means the Contractor will be contacted by Errand And Task Labor, LLC for a job that is referred by our vendor promotion system.
  • For security purposes, Contractor MUST say they're working on behalf of Errand And Task Labor LLC and if provided, use an "Errand and Task Labor Approved Contractor" Car Magnet when driving to or parking at a job site. Contractor may remove the Errand And Task Labor Car Magnet any other time.
  • Contractor must upkeep the reputation of Errand And Task Labor, LLC and the Contractor's own business reputation.
  • Contractor works as an independent contractor and Errand And Task Labor LLC may reject service results for modifications before The Contractor is paid in full. Partial payments may be made to compensate for satisfactory results while the rest of the payment is held until unsatisfactory results are modified, redone, or repaired to desired quality specifications. Contractor is liable for any damages arising on their own behalf from the work performance done or presence given on a work site.
  • Tasks will be completed by your business as a contractor, in the time allowed in schedule and by the due date agreed upon. In the event that schedules do not allow services to be performed, a reschedule will be made and agreed upon. The Contractor is personally liable for any damages that are incurred by the client incidentally or directly from the contractor's inability to meet a determined schedule through cancellations or reschedules.

Fringe Benefits

Neither Contractor nor Contractor's employees are eligible to participate in any employee

pension, health, vacation pay, sick pay or other fringe benefit plan of Client.


Invoices

Contractor will submit invoices to Client for all services performed.


Independent Contractor Status

The parties intend Contractor to be an independent contractor in the performance of the

services. Contractor will have the right to control and determine the methods and means

of performing the contractual services.


Other Clients

Contractor retains the right to perform services for other clients.


Assistants

Contractor, at Contractor's expense, may employ assistants as Contractor deems

appropriate to perform the contractual services. Contractor will be responsible for paying

these assistants as well as any expense attributable to them including income, Social

Security and Medicare taxes, and unemployment contributions. Contractor will maintain

workers' compensation insurance for all of its employees.


Equipment and Supplies

Contractor, at Contractor's expense, will provide all equipment, tools and supplies

necessary to perform the contractual services.


Expenses

Contractor will be responsible for all expenses required for the performance of the

contractual services, unless otherwise mutually agreed upon.


Contractor Adherence To A Satisfaction Guarantee

Client's satisfaction is guaranteed. Errand And Task Labor LLC may reject service results for modifications before The Contractor is paid in full. Partial payments may be made to compensate for satisfactory results while the rest of the payment is held until unsatisfactory results are modified, redone, or repaired to desired quality specifications. Contractor is liable for any damages arising on their own behalf from the work performance done or presence given on a work site.

If service results are rejected Contractor will have the job redone to Client's specified quality standards.The REDONE SERVICES may be redone FREE OF CHARGE, unless otherwise agreed upon. If the unsatisfactory result cannot be resolved, there will be no charge for the unsatisfactory result. If a payment was made before, a refund will be given for the unsatisfactory result.If the service/s rendered has/have quality issues after paying, Client is limited 1 week for one day services to report this quality issue to Contractor after invoice and when reported, the services will be redone and completed FREE OF CHARGE by Contractor.


Satisfaction Guarantee Time Limits

For one day services: 1 weed after service completion to report ANY quality issues to Contractor

For Landscaping Jobs: Client has 60 Days after service completion to report ANY quality issues to Contractor

For other Multi-day Services: Client has 30 Days after service completion to report ANY quality issues to Contractor


Disputes

If a dispute arises, the parties will try in good faith to settle it through mediation

conducted by a mediator to be mutually selected.

The parties will share the costs of the mediator equally. Each party will cooperate fully

and fairly with the mediator and will attempt to reach a mutually satisfactory compromise

to the dispute. If the dispute is not resolved within 30 days after it is referred to the

mediator, it will be arbitrated by an arbitrator to be mutually selected. Judgment on the arbitration award may be entered in any court that has jurisdiction over

the matter. Costs of arbitration, including lawyers' fees, will be allocated by the arbitrator.


Entire Agreement

This is the entire agreement between the parties. It replaces and supersedes any and all

oral agreements between the parties, as well as any prior writings.


Successors and Assignees

This agreement binds and benefits the heirs, successors and assignees of the parties.


Notices

All notices must be in writing. A notice may be delivered to a party at the Party's Email address, the address that

follows a party's signature, or to a new address that a party designates in writing. A notice

may be delivered:

• in person,

• by email,

• by mail,

• by certified mail, or

• by overnight courier.


Governing Law

This agreement will be governed by and construed in accordance with the laws of the

state which the agreement is made in.



Modification

This agreement may be subject to changes and modification without notice. If Client receives any service after the modifications to the agreement have been made, Client's received services shall be subject to the new terms. Client understands and agrees to the responsibility to check back to these terms and conditions for updates.

Waiver

If one party waives any term or provision of this agreement at any time, that waiver will

be effective only for the specific instance and specific purpose for which the waiver was

given. If either party fails to exercise or delays exercising any of its rights or remedies

under this agreement, that party retains the right to enforce that term or provision at a

later time.


Severability

If any court determines that any provision of this agreement is invalid or unenforceable,

any invalidity or unenforceability will affect only that provision and will not make any

other provision of this agreement invalid or unenforceable and such provision shall be

modified, amended or limited only to the extent necessary to render it valid and

enforceable.
